Preamble
These Terms and Conditions of Sale (TCS) apply to all sales, standard exchanges of refurbished or new servomotors, as well as rare repairs performed by E-Servo. Any order placed implies the Client’s full and unconditional acceptance of these TCS.
Article 1: Purpose
These conditions define the terms of sale, delivery, and warranty of servomotors, whether refurbished or new, as well as repair services and applicable payment terms.
Article 2: Products and Services
The products offered for sale and standard exchange are refurbished or new servomotors. Rare repairs may also be performed. The characteristics of the products and services are described in the technical data sheets provided to the Client before any order.
Article 3: Order
All orders must be confirmed in writing (mail, fax, email). They become final upon receipt of payment for the first three transactions. E-Servo reserves the right to refuse any order for legitimate reasons, particularly in the event of supply or payment problems.
Article 4: Pricing
The prices of the products and services are indicated in euros, excluding taxes and delivery charges. Delivery charges are borne by the Client and are specified when the order is confirmed.
Article 5: Payment
5.1 Payment Terms
• For the first three transactions, payment is made when the order is placed.
• From the fourth order onwards, payment is due within 10 days by bank transfer or 30 days by Sepa mandate after the invoice date.
• Any other payment terms must be explicitly agreed upon by the management.
5.2 Late Payment
Any late payment will automatically incur late payment penalties, calculated at three times the current legal interest rate, as well as a fixed compensation fee of 40 euros for recovery costs.
Article 6: Delivery
Delivery times are indicative. A delay in delivery cannot justify the cancellation of the order or the payment of damages.
Article 7: Receipt of Products
The Client must check the condition of the products upon delivery. Any claim for non conformity or apparent defect must be made in writing within 7 days of receipt of the products.
Article 8: Warranty
Our servomotors come with a 12-month warranty from the delivery date. This warranty covers any manufacturing or refurbishing defects. It does not cover damage resulting from improper use, incorrect installation, or inadequate maintenance.
Article 9: Return and Standard Exchange
The period for returning a servomotor for a standard exchange is 1 week. Beyond this period, E-Servo reserves the right to charge the difference with the price of a new or refurbished unit.
Article 10: Return of Products
Any return of a product must be agreed upon in writing by us. Products must be returned in their original packaging and in perfect condition. Return shipping costs are borne by the Client.
Article 11: Liability
E-Servo’s liability is limited to the amount of the order. Under no circumstances shall we be held liable for indirect damages, such as loss of profit or production.
Article 12: Force Majeure
E-Servo cannot be held responsible for any failure to fulfill its contractual obligations resulting from a force majeure event (such as, but not limited to, natural disasters, strikes, fires, wars).
Article 13: Confidentiality
All information exchanged between the parties as part of the transactions is confidential and cannot be disclosed to third parties without the prior consent of the other party.
Article 14: Applicable Law and Jurisdiction
These TCS are subject to French law. In case of a dispute, exclusive jurisdiction is given to the courts of the jurisdiction of the registered office of E-Servo.
