Preamble
These General Terms and Conditions of Sale (GTCS) apply to all sales, standard exchanges of reconditioned or new servomotors, as well as the rare repairs carried out by E-Servo. Any order placed implies the Client’s full and unconditional acceptance of these GTCS.
Article 1: Purpose
These conditions define the terms of sale, delivery, and warranty of servomotors, whether reconditioned or new, as well as repair services and applicable payment conditions.
Article 2: Products and Services
The products offered for sale and standard exchange are reconditioned or new servomotors. Rare repairs may also be carried out. Product and service characteristics are described in the technical sheets provided to the Client before any order.
Article 3: Orders
Any order must be confirmed in writing (mail, fax, email). It becomes final upon receipt of payment for the first three transactions. E-Servo reserves the right to refuse any order for legitimate reasons, notably in case of supply or payment issues.
Article 4: Prices
Prices are indicated in euros, excluding taxes and delivery costs. Delivery costs are borne by the Client and specified at order confirmation.
Article 5: Payment
5.1 Payment Terms
– For the first three orders, payment is made at the time of order.
– From the fourth order, payment is due within 10 days by bank transfer or 30 days by SEPA mandate after the invoice date.
– Any other payment term must be explicitly approved by management.
5.2 Late Payment
Any delay automatically incurs late penalties at three times the legal interest rate, plus a fixed €40 recovery fee.
Article 6: Delivery
Delivery times are indicative. Delay shall not justify cancellation of the order nor damages.
Article 7: Receipt of Products
The Client must check the condition of products upon delivery. Any claim for non-conformity or visible defect must be made in writing within 7 days.
Article 8: Warranty
Servomotors are guaranteed for 12 months from delivery date, covering manufacturing or reconditioning defects. It does not cover misuse, incorrect installation, or inadequate maintenance.
Article 9: Return and Standard Exchange
The deadline to return a servomotor for standard exchange is 1 week. Beyond this period, E-Servo reserves the right to charge the difference with the price of a new or reconditioned unit.
Article 10: Order Cancellation
All confirmed orders are final.
No cancellation will be accepted after confirmation, unless expressly agreed in writing by E-Servo.
If cancellation is accepted before shipment, the Client may be charged indemnities corresponding to incurred costs (procurement, preparation, logistics).
After shipment, no cancellation is possible.
Article 11: Product Returns
Any return requires prior written approval. Products must be returned in original packaging and in perfect condition. Return costs are borne by the Client.
Article 12: Liability
E-Servo’s liability is limited to the order amount. We shall not be liable for indirect damages such as loss of profit or production.
Article 13: Force Majeure
E-Servo shall not be liable for failure due to force majeure (including but not limited to natural disasters, strikes, fires, wars).
Article 14: Confidentiality
All information exchanged between parties is confidential and may not be disclosed without prior consent.
Article 15: Governing Law and Jurisdiction
These GTCS are governed by French law. Exclusive jurisdiction lies with the courts where E-Servo’s registered office is located.
