Preamble
These General Terms and Conditions of Sale (GTCS) apply to all sales, standard exchanges of reconditioned or new servomotors, as well as the limited repair services carried out by E-Servo. Any order placed implies the Client’s full and unconditional acceptance of these GTCS.
Article 1: Purpose
These terms and conditions aim to define the terms of sale, delivery, and warranty of servomotors, whether reconditioned or new, as well as repair services and the applicable payment conditions.
Article 2: Products and Services
The products offered for sale and standard exchange are reconditioned or new servomotors. Limited repair services may also be provided. The characteristics of the products and services are described in the technical data sheets provided to the Client prior to any order.
Article 3: Orders
All orders must be confirmed in writing (mail, fax, or email). Orders become final upon receipt of payment for the first three transactions. E-Servo reserves the right to refuse any order for legitimate reasons, particularly in the event of supply or payment issues.
Article 4: Prices
The prices of products and services are indicated in euros, excluding VAT and delivery costs. Delivery costs are borne by the Client and are specified at the time of order confirmation.
Article 5: Payment
5.1 Payment Terms
- For the first three transactions, payment is due upon order.
- From the fourth order onwards, payment is due within 10 days by bank transfer or 30 days by SEPA direct debit mandate, from the invoice issue date.
- Any other payment terms must be expressly approved by management.
5.2 Late Payment
Any late payment will automatically result in late payment penalties calculated at three times the current legal interest rate, as well as a fixed compensation of €40 for recovery costs.
Article 6: Delivery
Delivery times are provided for information purposes only. A delay in delivery shall under no circumstances justify cancellation of the order or payment of damages.
Article 7: Receipt of Products
The Client must verify the condition of the products upon delivery. Any claim regarding non-conformity or apparent defect must be made in writing within 7 days of receipt of the products.
Article 8: Warranty
Our servomotors benefit from a 12-month warranty from the date of delivery. This warranty covers any manufacturing or reconditioning defect. It does not cover damage resulting from misuse, incorrect installation, or improper maintenance.
Article 9: Return and Standard Exchange
The deadline for returning a servomotor under a standard exchange is one week. Beyond this period, E-Servo reserves the right to invoice the price difference with a new or reconditioned supply.
Article 10: Order Cancellation
Any order placed and confirmed is firm and final.
No cancellation will be accepted after confirmation, except with prior written agreement from E-Servo.
In the event of a cancellation accepted by E-Servo prior to shipment, the Client may be required to pay compensation corresponding to costs incurred (procurement, preparation, logistics).
After shipment, no cancellation will be possible.
Article 11: Product Returns
Any product return must be subject to prior written approval from us. Products must be returned in their original packaging and in perfect condition. Return shipping costs are borne by the Client.
Article 12: Liability
E-Servo’s liability is limited to the amount of the order. Under no circumstances shall we be held liable for indirect damages, such as loss of profit or production.
Article 13: Force Majeure
E-Servo shall not be held liable for any failure to perform its contractual obligations resulting from a force majeure event (including, but not limited to, natural disasters, strikes, fires, wars).
Article 14: Confidentiality
All information exchanged between the parties in the course of transactions is confidential and may not be disclosed to third parties without the prior consent of the other party.
Article 15: Governing Law and Jurisdiction
These GTCS are governed by French law. In the event of a dispute, exclusive jurisdiction is granted to the courts within the jurisdiction of E-Servo’s registered office.
